1. Acceptance of Terms

Welcome to MTMPay.

These Terms of Use (“Terms“) govern your access to and use of the websites, mobile applications, APIs, software platforms, products, digital financial services, and other services offered by MTM Payment Services Private Limited (“MTMPay“, “Company“, “we“, “our“, or “us“).

By accessing, browsing, registering, downloading, installing, or using any MTMPay product or service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, together with the following policies, which collectively govern your use of MTMPay’s products and services:

These policies, together with any applicable service-specific terms, merchant agreements, API agreements, partner agreements, and other legal documents published by MTMPay from time to time, form an integral part of these Terms and shall be read together.

By using MTMPay’s products and services, you further acknowledge that your personal data may be collected, used, processed, stored, shared, retained, and otherwise handled in accordance with our Privacy Policy and our Digital Personal Data Protection (DPDP) Notice, in compliance with the Digital Personal Data Protection Act, 2023, the Digital Personal Data Protection Rules, 2025, and other applicable laws of India. Where required under applicable law, your consent for the processing of personal data will be obtained through appropriate notices or consent mechanisms provided at the time of collection.

You also represent and warrant that:

  • The information you provide to MTMPay is true, accurate, complete, and up to date.
  • You are legally authorised to provide any personal information submitted through MTMPay.
  • You will promptly update your information if it changes.
  • You will not submit false, misleading, fraudulent, or unauthorised personal information belonging to another individual.

If you do not agree to these Terms or any applicable policy, you must immediately discontinue accessing or using MTMPay’s websites, applications, APIs, products, and services.

 

2. About MTMPay

MTMPay is a financial technology company providing technology-enabled financial services and infrastructure solutions including, but not limited to:

  • BBPS Bill Payment Services

  • Mobile Recharge Services

  • DTH Recharge Services

  • Fastag Recharge Services

  • Gift Cards and Digital Vouchers

  • Payment Gateway Services

  • Payout Services

  • Collection Services

  • Merchant Solutions

  • Verification Services

  • Background Verification Services

  • Banking APIs

  • Financial APIs

  • Virtual Accounts

  • QR Code Payment Solutions

  • UPI Services

  • White Label Solutions

  • Enterprise Solutions

  • Digital Financial Service Platforms

  • Any future financial, payment, verification, technology, or value-added services introduced by MTMPay

MTMPay may expand, modify, suspend, discontinue, or enhance any service, feature, functionality, or platform at its sole discretion.

3. Eligibility

To use MTMPay services, you must:

  • Be at least 18 years of age;

  • Be legally capable of entering into binding agreements;

  • Provide accurate and complete information;

  • Comply with all applicable laws and regulations.

MTMPay reserves the right to deny access to any user who fails to satisfy eligibility requirements.

4. Account Registration

Users may be required to create an account to access certain services.

You agree to:

  • Provide accurate information;

  • Maintain updated information;

  • Protect account credentials;

  • Maintain confidentiality of OTPs and authentication information;

  • Immediately report unauthorized account access.

You are responsible for all activities conducted through your account.

5. KYC and Verification Requirements

Certain services may require:

  • PAN Verification

  • Aadhaar Verification

  • KYC Verification

  • CKYC Verification

  • Business Verification

  • Identity Verification

  • Merchant Verification

  • Additional regulatory checks

MTMPay may suspend or restrict services until required verification is completed.

Failure to provide accurate information may result in account suspension or termination.

6. User Responsibilities

You agree not to:

  • Use MTMPay for unlawful purposes;

  • Provide false or misleading information;

  • Engage in fraud, money laundering, terrorism financing, or suspicious activities;

  • Attempt unauthorized access to systems;

  • Reverse engineer, copy, modify, or interfere with services;

  • Violate applicable laws, regulations, or partner requirements.

7. Transactions and Payments

Users acknowledge that:

  • Transaction processing depends on banking partners, payment networks, billers, and service providers.

  • Transactions may be delayed, reversed, rejected, refunded, disputed, or failed due to technical, operational, compliance, regulatory, or third-party reasons.

  • MTMPay does not guarantee uninterrupted availability of any service.

Users are solely responsible for verifying transaction details before submission.

8. Gift Cards and Digital Products

Gift cards, vouchers, and digital products are subject to:

  • Issuer terms and conditions;

  • Product-specific restrictions;

  • Validity periods;

  • Redemption requirements.

MTMPay shall not be responsible for restrictions imposed by third-party issuers.

9. Merchant Services

Merchants agree to:

  • Maintain valid business registrations;

  • Maintain required licenses;

  • Provide accurate business information;

  • Comply with KYC requirements;

  • Comply with applicable laws and regulations.

MTMPay may suspend merchant services for fraud, risk, compliance, operational, regulatory, or security reasons.

10. API, SDK and Developer Services

MTMPay may provide:

  • APIs

  • SDKs

  • Plugins

  • Integration Services

  • White Label Platforms

  • Technical Documentation

  • Developer Tools

Users, merchants, and developers agree to:

  • Protect API credentials;

  • Follow technical standards;

  • Implement security safeguards;

  • Use services only for lawful purposes.

MTMPay may suspend, modify, revoke, or restrict access to APIs or integrations at any time.

11. Fees and Charges

Certain services may involve:

  • Transaction Fees

  • Convenience Fees

  • Processing Fees

  • Subscription Fees

  • Service Charges

Applicable fees may change from time to time and will be communicated where required.

12. Service Availability and Restrictions

Availability of services may depend on:

  • Banking partner availability;

  • Payment network availability;

  • Regulatory approvals;

  • Risk management policies;

  • Geographic restrictions;

  • Transaction limits;

  • Maintenance activities;

  • User eligibility requirements.

MTMPay does not guarantee uninterrupted service availability.

13. Regulatory Compliance and Service Modifications

MTMPay reserves the right to modify, suspend, restrict, discontinue, or impose additional requirements on any service to comply with:

  • RBI Regulations

  • NPCI Guidelines

  • AML Requirements

  • KYC Requirements

  • Banking Partner Requirements

  • Government Directives

  • Court Orders

  • Regulatory Instructions

  • Internal Risk Policies

Users agree that MTMPay shall not be liable for losses arising from such compliance-driven actions.

14. Third-Party Services

MTMPay may integrate with:

  • Banks

  • Payment Aggregators

  • Payment Gateways

  • BBPS Providers

  • NPCI Ecosystem Participants

  • Verification Providers

  • KYC Providers

  • Government Systems

  • Communication Providers

  • Cloud Providers

  • Technology Partners

MTMPay is not responsible for interruptions, failures, or actions of third-party providers.

15. Intellectual Property

All trademarks, logos, software, APIs, designs, content, technology, graphics, and materials remain the exclusive property of MTM Payment Services Private Limited or its licensors.

No ownership rights are transferred to users.

16. Suspension and Termination

MTMPay may suspend, restrict, or terminate access without notice where:

  • Fraud is suspected;

  • Regulatory concerns arise;

  • KYC requirements are not fulfilled;

  • Security risks are identified;

  • These Terms are violated.

Termination does not affect obligations that arose before termination.

17. Limitation of Liability

To the maximum extent permitted by law:

MTMPay shall not be liable for:

  • Indirect losses;

  • Consequential damages;

  • Loss of profits;

  • Business interruption;

  • Banking network failures;

  • Regulatory actions;

  • Service interruptions;

  • Force majeure events.

Services are provided on an “as available” and “as is” basis.

18. Indemnity

Users agree to indemnify and hold harmless MTMPay, its directors, officers, employees, affiliates, partners, and agents from claims, liabilities, damages, losses, penalties, and expenses arising from:

  • Violation of these Terms;

  • Violation of laws;

  • Fraudulent activities;

  • Misuse of services.

19. Data Privacy

Use of MTMPay services is subject to our Privacy Policy:

Deletion requests remain subject to legal, regulatory, compliance, fraud prevention, taxation, AML, KYC, audit, and record retention obligations.

21. Force Majeure

MTMPay shall not be liable for delays or failures caused by circumstances beyond reasonable control, including:

  • Natural Disasters

  • Government Actions

  • Internet Failures

  • Telecom Failures

  • Cyber Incidents

  • Strikes

  • Banking Infrastructure Failures

22. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Raipur, Chhattisgarh, India.

MTMPay may require disputes to be resolved through arbitration in accordance with applicable laws.

24. Changes to Terms
